These Terms of Use (“Terms”) constitute the entire and exclusive agreement between Devtrios, a company incorporated and registered in England and Wales, with its registered office at 27 Old Gloucester Street, London, WC1N 3AX, United Kingdom (“Devtrios”, “we”, “us”, “our”), and any person, natural or legal, accessing or using the website located at [www.devtrios.com] (the “Website”) or otherwise engaging with the information, content, or materials published thereon (“User”, “you”, “your”).
By proceeding to access, browse, or use the Website, whether directly or indirectly, you acknowledge that you have read, understood, and irrevocably agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately refrain from using, and must discontinue any and all access to, the Website.
1. Definitions and Interpretation
1.1 In these Terms, unless the context otherwise requires:
(a) “Content” means all information, text, graphics, logos, icons, images, audio-visual material, databases, compilations, software, source code, object code, trade names, service marks, designs, and any other works of authorship or materials, whether registered or unregistered, displayed on, forming part of, or otherwise accessible through the Website;
(b) “Services” means the professional and consultancy services offered by Devtrios from time to time, including without limitation website design and development, mobile application development, blockchain and artificial intelligence integration, user experience and interface consultancy, custom software development, cloud solutions, search engine optimisation, digital marketing, and related advisory or technology solutions, as further described on the Website;
(c) “User” means any individual, corporation, partnership, or other entity accessing or using the Website;
(d) “Agreement” means these Terms, together with our Privacy Policy and Cookie Policy (as amended from time to time).
1.2 Headings are inserted for convenience only and shall not affect interpretation. Words importing the singular shall include the plural and vice versa. References to statutes or statutory provisions include any amendment, extension, consolidation, or re-enactment thereof. The words “including”, “include”, “in particular”, or any similar expression shall be construed as illustrative and without limitation.
2. Eligibility and Access
2.1 The Website is made available strictly on the condition that the User is at least eighteen (18) years of age and possesses full legal capacity to enter into binding contractual obligations under the laws of England and Wales.
2.2 Without prejudice to any other rights available to it under these Terms or at law, Devtrios reserves the unconditional right, exercisable in its absolute discretion at any time and without prior notice, to restrict, suspend, or permanently terminate a User’s access to all or any part of the Website where it reasonably determines that such User has breached any provision of these Terms, has engaged in conduct which is fraudulent, unlawful, abusive, or otherwise detrimental to Devtrios, or has facilitated or attempted to facilitate the same.
3. Scope of Services
3.1 The Website may from time to time provide descriptive materials, case studies, testimonials, or promotional statements in respect of the Services. The User acknowledges and agrees that such materials are provided for general informational purposes only, do not constitute professional advice, and shall not be interpreted as constituting an offer by Devtrios to provide Services absent the execution of a written Scope of Work, Proposal, or Service Agreement (each a “Client Agreement”).
3.2 For the avoidance of doubt, where any conflict arises between the provisions of these Terms and the provisions of a Client Agreement, the provisions of the relevant Client Agreement shall prevail solely with respect to the Services provided thereunder.
4. Intellectual Property Rights
4.1 All right, title, and interest (including without limitation copyright, database rights, design rights, trademarks, service marks, and all other intellectual property rights whether registered or unregistered) in and to the Website and the Content are and shall remain vested in Devtrios or its licensors.
4.2 Subject strictly to the User’s compliance with these Terms, Devtrios hereby grants the User a limited, revocable, non-exclusive, non-transferable licence to access and use the Website for personal and lawful purposes only. No licence is granted to modify, copy, adapt, translate, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content without Devtrios’ prior written consent.
4.3 Intellectual property rights in deliverables produced pursuant to a Client Agreement shall be determined exclusively in accordance with the terms of that Client Agreement. Unless otherwise expressly agreed therein, ownership of bespoke software code, design assets, and other final deliverables shall vest in the client upon payment in full of all sums due to Devtrios.
5. Use of the Website
5.1 The User shall not, whether directly or indirectly, and whether by manual means, automated script, crawler, scraper, robot, or otherwise, engage in any conduct which:
(a) constitutes or facilitates unlawful, fraudulent, harmful, defamatory, or abusive activity;
(b) attempts to gain unauthorised access to any part of the Website, Content, servers, systems, or networks operated or controlled by Devtrios;
(c) introduces or attempts to introduce viruses, malware, logic bombs, worms, or any other harmful code or material;
(d) interferes with, disrupts, damages, impairs, or otherwise compromises the security, availability, or functionality of the Website.
5.2 For the avoidance of doubt, Devtrios shall be entitled to monitor access to and use of the Website for the purposes of ensuring compliance with these Terms and with applicable law.
6. Data Protection and Privacy
6.1 Devtrios shall process personal data strictly in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and any other applicable data protection laws or regulations.
6.2 By using the Website, the User expressly acknowledges and consents to such processing of personal data as described in Devtrios’ Privacy Policy and Cookie Policy, which form an integral part of these Terms.
6.3 The User is responsible for ensuring that any personal data provided to Devtrios through the Website is accurate, complete, and up to date.
7. Third-Party Links and Integrations
7.1 The Website may incorporate links to third-party websites, platforms, or services (including, without limitation, cloud providers, payment gateways, and API integrations). The User acknowledges that Devtrios exercises no control over such third-party services and makes no representations, warranties, or guarantees as to their availability, security, accuracy, or suitability.
7.2 Access to and use of any third-party service is undertaken at the User’s sole risk. Devtrios disclaims any and all liability for loss or damage arising from the User’s reliance upon, or use of, any such third-party services.
8. Disclaimers
8.1 The Website and all Content are provided strictly on an “as is” and “as available” basis, without warranty of any kind, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, completeness, or availability.
8.2 Devtrios does not warrant, represent, or guarantee that the Website will operate without interruption, will be free from defects, errors, viruses, or other harmful code, or that it will meet any particular standard of performance or availability.
9. Limitations of Liability
9.1 To the fullest extent permitted by law, Devtrios shall not be liable, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any indirect, incidental, consequential, punitive, exemplary, or special damages, including without limitation loss of profits, revenue, goodwill, data, or business opportunities, arising out of or in connection with the use of the Website or reliance upon any Content, even where Devtrios has been advised of the possibility of such damages.
9.2 Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded under the laws of England and Wales.
10. Indemnification
The User agrees to indemnify, defend, and hold harmless Devtrios, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, demands, causes of action, proceedings, damages, losses, costs, and expenses (including reasonable legal fees) arising directly or indirectly out of the User’s breach of these Terms or misuse of the Website.
11. Termination of Access
Without prejudice to any other rights or remedies, Devtrios reserves the right to suspend or terminate, with immediate effect and without prior notice, the User’s access to the Website in circumstances where it reasonably believes the User has violated these Terms, applicable law, or engaged in conduct detrimental to Devtrios.
12. Force Majeure
Devtrios shall not be deemed in breach of these Terms, nor otherwise liable for any failure or delay in performance, arising from or attributable to acts, events, omissions, or accidents beyond its reasonable control, including without limitation strikes, lockouts, labour disputes, civil commotion, riot, invasion, terrorist attack, war, fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic, failure of telecommunications networks, or cyberattacks.
13. Amendments
Devtrios reserves the absolute right to amend, vary, or replace these Terms at any time by publishing an updated version on the Website. The effective date of the most recent revision shall be stated at the head of these Terms. Continued use of the Website after such publication shall constitute conclusive acceptance of the revised Terms.
14. Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be deemed severed from the remainder of these Terms, which shall continue in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between the User and Devtrios relating to the subject matter hereof and supersede all prior agreements, understandings, representations, or communications, whether written or oral, relating thereto.
16. No Waiver
No failure or delay by Devtrios in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise preclude any further exercise of such right, power, or remedy.
17. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, their subject matter, or their formation.
